1. Acceptance of Terms

• Cybersecurity Services
• IT Consulting

3. Use License

Permission is granted to temporarily download one copy of the materials on Tarun IT Solutions' website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials

4. Service Agreement

4.1 Project Scope

All projects will be defined by a detailed project scope document that outlines deliverables, timelines, and costs. Any changes to the project scope must be agreed upon in writing by both parties.

4.2 Timeline and Deliverables

Project timelines are estimates and may be subject to change based on project complexity, client feedback, and external factors. We will make every effort to meet agreed-upon deadlines.

4.3 Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals
• Supplying necessary materials and information
• Making payments according to agreed terms
• Providing access to required systems and platforms

5. Payment Terms

5.1 Payment Schedule

Payment terms will be specified in individual project agreements. Generally, we require:

• 50% advance payment before project commencement
• 40% payment upon completion of major milestones
• 10% final payment upon project completion and delivery

5.2 Late Payments

Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days.

5.3 Refunds

Refund policies are outlined in our separate Refund & Cancellation Policy document.

6. Intellectual Property Rights

6.1 Client Ownership

Upon full payment, clients will own all custom-developed code, designs, and materials created specifically for their project.

6.2 Company Rights

We retain rights to:

• Pre-existing intellectual property and frameworks
• General methodologies and processes
• Third-party software and licenses

7. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We will not disclose any confidential information to third parties without written consent, except as required by law.

8. Limitation of Liability

In no event shall Tarun IT Solutions or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on our website, even if we or our authorized representative has been notified orally or in writing of the possibility of such damage.

9. Warranty Disclaimer

The materials on Tarun IT Solutions' website are provided on an 'as is' basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

• Client will pay for all work completed up to the termination date
• We will deliver all completed work to the client
• Confidentiality obligations will continue to apply

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India and you irrevocably submit to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

15. Changes to Terms

We reserve the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified terms.
